Portfolio Motif is a personal financial analysis tool that helps individual investors organize, visualize, and analyze their own investment portfolio data. The service is designed and intended for personal, non-commercial use by individual investors reviewing their own holdings.

Portfolio Motif is not a registered investment adviser, broker-dealer, exchange, custodian, or financial institution under any applicable federal or state law. Portfolio Motif does not hold, manage, or have access to your assets.

All analysis and visualizations are provided for informational and organizational purposes only. Past performance indicators displayed by the tool are not indicative of future results. Always consult a qualified and licensed financial professional before making any investment decision.

4. Eligibility

You must be at least 18 years of age to use Portfolio Motif. By using the service, you represent and warrant that:

You are at least 18 years old;
You are using Portfolio Motif for personal, lawful purposes only;
You have the legal authority to enter into this agreement in your jurisdiction;
Your use complies with all applicable laws and regulations.

5. User Responsibilities

By using Portfolio Motif, you agree that:

You are solely responsible for the accuracy, completeness, and legality of any data you upload or input into Portfolio Motif;
You are solely responsible for all investment decisions you make, regardless of any analysis, signal, or visualization displayed by Portfolio Motif;
You will not use Portfolio Motif to make investment decisions on behalf of others in a professional, advisory, or fiduciary capacity without proper licensing;
You will not use Portfolio Motif for any unlawful purpose or in any manner that violates applicable securities laws, regulations, or these Terms;
You will not attempt to reverse-engineer, copy, or reproduce the Portfolio Motif software, design, or branding.

6. Intellectual Property

The Portfolio Motif name, logo, branding, design system, and software are proprietary and protected by applicable intellectual property laws. All rights not expressly granted are reserved.

Your data belongs to you. Any portfolio data, holdings, or financial information you upload or input into Portfolio Motif remains your property. Portfolio Motif does not claim any ownership interest in your financial data.

7. Third-Party APIs and Services

Portfolio Motif integrates with third-party APIs to provide enhanced features. Use of these features is subject to the respective providers' terms of service:

Anthropic (Claude API)

AI-powered portfolio analysis. When used, prompts are sent from your browser directly to Anthropic's API. Subject to Anthropic's usage policies.

Portfolio Motif is not responsible for the availability, accuracy, or output of any third-party AI service. Third-party API usage may be subject to additional costs and rate limits imposed by those providers.

8. Disclaimer of Warranties

PORTFOLIO MOTIF IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. WE MAKE NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, TIMELINESS, OR FITNESS FOR ANY PURPOSE OF ANY ANALYSIS, CLASSIFICATION, SIGNAL, OR INFORMATION PROVIDED BY THE SERVICE OR BY ANY THIRD-PARTY AI INTEGRATION.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PORTFOLIO MOTIF AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE — INCLUDING ANY INVESTMENT LOSSES OR FINANCIAL DECISIONS MADE IN RELIANCE ON PORTFOLIO MOTIF ANALYSIS — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE AMOUNTS YOU HAVE PAID FOR ACCESS TO THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions. Any legal proceedings arising from or relating to these Terms or your use of Portfolio Motif shall be brought exclusively in the courts of competent jurisdiction located in the State of New Mexico.
